How to Reinstate a Dissolved LLC or Corporation in North Carolina

Your NC LLC was administratively dissolved for missed annual reports or taxes. Here is how the Application for Reinstatement works, what it costs, and how to avoid it next time.

If you just found out the NC Secretary of State administratively dissolved your LLC or corporation, you're not alone. It's one of the most common letters small business owners get. It almost always comes from missed annual reports, a lapsed registered agent, or a tax problem flagged by the NC Department of Revenue. The good news is that most entities can be reinstated, and reinstatement relates back as if the dissolution never happened.

Why NC dissolves businesses

  • Annual report not filed. LLC reports ($200) are due April 15. Corporation reports ($25) are due on the 15th day of the 4th month after the fiscal year-end. The SOS sends a notice, then dissolves the entity if the report stays unfiled.
  • No registered agent or office. The agent resigned or the address went stale.
  • Tax non-compliance. The NC Department of Revenue can trigger a suspension or dissolution for unfiled returns or unpaid tax.

What happens while you're dissolved

A dissolved entity can only wind up its affairs. Contracts, bank relationships, licenses and the liability shield can all be affected. You also can't get a Certificate of Good Standing, which lenders and many customers ask for. Some owners only find out when a loan or sale stalls.

How to reinstate in North Carolina

  1. Find out why you were dissolved. Look up your entity on sosnc.gov and read the notice. Missed reports and tax problems have different fixes.
  2. File every missing annual report and pay the fees for each year owed.
  3. Get tax clearance if needed. If the Department of Revenue was involved, you need its clearance (a letter confirming returns are filed and tax is paid) before the SOS will reinstate.
  4. File the Application for Reinstatement following administrative dissolution with the SOS. Include the filing fee ($100 for LLCs at the time of writing) and appoint a current registered agent.
  5. Check the name. If someone else took your name while you were dissolved, you may have to reinstate under a different name.

How long does it take?

Once the reports are filed and any tax clearance is in hand, the SOS usually processes reinstatement within days. Expedited options exist. The tax clearance step is usually the slow part, because it can mean filing several years of past-due returns first.

Reinstatement vs. starting over

Forming a new LLC can look cheaper, but you lose the entity's history, EIN relationships, contracts and possibly the name. If the business has a bank account, a lease, contracts or a loan, reinstating is almost always the better path.

Never get dissolved again

  • Put the April 15 annual report on a calendar, or have your bookkeeper file it.
  • Use a reliable registered agent and keep the address current.
  • Keep NC withholding and sales tax returns filed, even zero returns.
